Assisted a nonprofit in drafting and filing its incorporation documents with the IRS, as well as holding its initial board meeting.

Prepared a 10-Q filing for a U.S. food distribution company.

Drafted an SEC comment letter for a Canadian options clearing organization regarding a Rule 12(h) exemption from filing.

Represented a Japanese real estate company in a US$38 million cross-border transaction. Structured an international acquisition of a domestic company, created a wholly owned subsidiary to facilitate an international funds transfer and drafted a purchase agreement.

Represented a Canadian mining company in CN$180 million and CN$175 million offerings of common shares. Prepared disclosure schedules and ensured consistency between the offering documents.

Represented a U.S. mining company in a $10 million buyout of a minority shareholder. Negotiated the purchase of a minority stake with a hostile shareholder. Performed diligence on the formation documents, researched litigation-related issues of fiduciary obligations between partners of a closely held corporation, and advised our client on its strategy in reaching an agreement with minority shareholders without resorting to litigation.

Drafted an SEC No-Action Letter for a U.S. bank requesting the right to exclude a shareholder proposal from the company’s proxy statement under Rule 14a-8.

Represented a U. S. bank in restructuring a $40 million commercial guaranty agreement. Renegotiated a guaranty obligation on a restructured revolving credit facility. Drafted the revised guaranty agreement for the underlying transaction.
